Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ApproveEase website (approveease.com) and the ApproveEase platform, application, and related services (collectively, the "Service"), operated by Coullweb Ltd ("we", "us", "our"), a company registered in England and Wales.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Definitions

• "Account" means the account you create to access and use the Service.
• "Content" means any data, text, files, documents, images, or other materials you upload, submit, or create through the Service.
• "Organisation" means the company, team, or entity on whose behalf an Account is created.
• "Subscription" means the paid plan you select to access certain features of the Service.
• "User" means any individual who accesses or uses the Service, including account holders and invited team members.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of an Organisation, you represent that you have the authority to bind that Organisation to these Terms.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your Account. You must provide accurate and complete information when creating an Account and keep it up to date. You must notify us immediately at support@approveease.com if you become aware of any unauthorised use of your Account.

4. Subscriptions, Free Tier and Billing

4.1 Plans

The Service is available under a free tier, free trial periods, and paid subscription tiers. Details of the features and limitations of each plan are set out on our pricing page.

4.2 Free Tier

The free tier provides limited access to the Service at no charge. We reserve the right to modify or discontinue the free tier at any time with reasonable notice.

4.3 Free Trials

Free trials provide temporary access to paid features. At the end of a trial period, your Account will revert to the free tier unless you subscribe to a paid plan. We will not charge you without your explicit consent.

4.4 Billing and Payment

Paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). All fees are quoted in GBP unless otherwise stated and are exclusive of VAT where applicable. You authorise us to charge your chosen payment method for all applicable fees.

4.5 Cancellation

You may cancel your subscription at any time through your Account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

4.6 Price Changes

We may change our subscription fees with at least 30 days' prior notice. Continued use of the Service after a price change constitutes acceptance of the new fees.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Upload or transmit any Content that is harmful, offensive, defamatory, infringing, or otherwise objectionable.
• Attempt to gain unauthorised access to the Service, other users' accounts, or any related systems or networks.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service to send unsolicited communications or spam.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use automated means (bots, scrapers, etc.) to access the Service without our prior written consent.
• Resell, sublicense, or redistribute access to the Service without our prior written consent.

We reserve the right to suspend or terminate your access if you breach these Terms.

6. Your Content

6.1 Ownership

You retain all ownership rights in your Content. By uploading Content to the Service, you grant us a limited, non-exclusive licence to store, process, and display your Content solely for the purpose of providing and improving the Service.

6.2 Responsibility

You are solely responsible for your Content and must ensure you have the necessary rights and permissions to upload it. We do not monitor or review Content proactively but may remove Content that violates these Terms.

6.3 Data Portability

You may export your Content at any time through the tools provided in the Service.

7. Intellectual Property

The Service, including its design, code, features, branding, and documentation, is owned by Coullweb Ltd and is protected by intellectual property laws. Nothing in these Terms grants you any rights to our intellectual property except the limited right to use the Service in accordance with these Terms.

8. Availability and Support

We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free access. We may suspend the Service temporarily for maintenance, updates, or reasons beyond our reasonable control. Support is provided via support@approveease.com.

9. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.
• Our total aggregate liability arising from or related to these Terms or the Service shall not exceed the amount you have paid us in the 12 months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

10. Indemnification

You agree to indemnify and hold harmless Coullweb Ltd, its directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service, your Content, or your breach of these Terms.

11. Termination

We may suspend or terminate your access to the Service at any time for breach of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. We will retain your Content for a reasonable period to allow you to export it, after which it may be deleted.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. General

• Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Coullweb Ltd regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights at any time.
